End-User License Agreement ("EULA") for Poker Chip Counter

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Eldr Games for the use of the Poker Chip Counter mobile application ("Application").

By downloading, installing, or using the Application, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not download, install, or use the Application.

1. Grant of License

Subject to your compliance with the terms of this EULA, ELDR GAMES grants you a limited, non-exclusive, non-transferable, revocable license to use the Application for personal, non-commercial use on a single mobile device that you own or control.

2. Ownership and Intellectual Property

The Application and its entire contents, features, and functionality are owned by ELDR GAMES and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3. Restrictions on Use

You may not use the Application in any manner that could damage, disable, overburden, or impair the Application or interfere with any other party's use and enjoyment of the Application. You may not reverse engineer, decompile, or disassemble the Application, except and only to the extent that such activity is expressly permitted by applicable law.

4. Warranty Disclaimer

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

5. Limitation of Liability

IN NO EVENT SHALL ELDR GAMES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE APPLICATION, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.

6. Indemnification

You agree to indemnify and hold ELDR GAMES, its affiliates, officers, agents, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of this EULA or your violation of any law or the rights of a third-party.

7. Governing Law and Venue

This EULA shall be governed by and construed in accordance with the laws of Spain, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to this EULA or the Application shall be instituted exclusively in the courts of Madrid, Spain, and you consent to jurisdiction and venue in such courts.

8. Entire Agreement and Severability

This EULA constitutes the entire agreement between you and ELDR GAMES regarding the use of the Application and supersedes all prior and contemporaneous negotiations, agreements, and understandings between you and ELDR GAMES. If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By using the Application, you acknowledge that you have read this EULA, understand it, and agree to be bound by its terms and conditions.
